Data365 does not provide data analysis, visualization, or reporting functionalities. Clients are responsible for using their own tools and methodologies to analyze and derive insights from the data collected using Data365's tools and APIs.

The specific tools and APIs available to each client will be outlined in a separate agreement or statement of work. We reserve the right to modify, update, or discontinue any tools or APIs at any time. However, we will strive to provide advance notice for any significant changes that may impact clients' data collection processes.

While we make every effort to ensure the reliability and performance of our data collection tools and APIs, clients should independently verify the accuracy and completeness of the collected data. Data365 is not liable for any errors, inaccuracies, or inconsistencies in the data collected using our tools and APIs, or for any actions taken or decisions made based on such data.

You are solely responsible for ensuring that your data collection practices comply with applicable laws and regulations, such as obtaining necessary lawful basis for processing and providing appropriate disclosures to data subjects.

Data365 does not store any of the data collected by clients using our tools and APIs. Clients are responsible for securely storing and managing the collected data on their own systems or third-party storage solutions. Data365 shall not be liable for any loss, corruption, or unauthorized access to the data collected by clients.

Client Obligations

Client Responsibilities

As a client of Data365, you agree to:
  • Use our Services only for lawful purposes and in compliance with these Terms and any applicable laws and regulations.
  • Ensure that any data or content you upload, submit, or transmit through our Services does not infringe upon the intellectual property rights of others or violate any applicable laws.
  • Obtain necessary consents and permissions from individuals or entities whose data you provide to Data365 for processing.
  • Maintain the security of your credentials and promptly notify us of any unauthorized access or use of your access token.
  • Regularly review and comply with the documentation and guidelines provided by Data365 for accessing and using our tools and APIs.

Prohibited Activities

When using our Services, you must not:
  • Attempt to access, tamper with, or use any non-public areas of our systems or infrastructure.
  • Interfere with or disrupt the integrity or performance of our Services or the data contained therein.
  • Attempt to gain unauthorized access to our Services, APIs, or any related systems or networks.
  • Use our Services to transmit any viruses, malware, or other malicious code.
  • Use our Services for any unlawful, fraudulent, or unauthorized purpose, including engaging in any activity that violates the rights of others.
Compliance with laws for the use of our Services:
  • The Computer Fraud and Abuse Act (CFAA): You must not engage in any activities that violate the CFAA, such as unauthorized access to computer systems, data theft, or causing damage to computer systems or networks.
  • The Children's Online Privacy Protection Act (COPPA): If you collect personal information from children under the age of 13 through our Services, you must comply with COPPA. This includes obtaining verifiable parental consent and providing a clear privacy policy explaining your data collection and use practices.
  • The California Consumer Privacy Act (CCPA): If you are subject to the CCPA, you must comply with its requirements when using our Services. This includes providing the necessary disclosures, honoring consumer rights requests, and securing any personal information collected from California residents.
  • The California Comprehensive Computer Data Access and Fraud Act (CDAFA): You must not engage in any activities that violate the CDAFA, such as knowingly accessing and without permission altering, damaging, deleting, destroying, or otherwise using any data, computer, computer system, or computer network in order to devise or execute any scheme or artifice to defraud, deceive, or extort, or wrongfully control or obtain money, property, or data.
  • The General Data Protection Regulation (GDPR): If you process personal data of individuals within the European Union (EU) or European Economic Area (EEA), you must comply with the GDPR. This includes obtaining valid consent for data processing, providing clear privacy notices, implementing appropriate security measures, and honoring data subject rights requests.
Suspension or Termination: We reserve the right to suspend or terminate your access to our Services, without prior notice, if we reasonably believe that you have violated these Terms or engaged in any prohibited activities. We may also take legal action or report any suspected illegal activities to the appropriate authorities.

Intellectual Property Rights

Ownership: All intellectual property rights in and to the Services, APIs, and any associated documentation or materials (collectively, the "IP Rights") are owned by or licensed to Data365. These Terms do not grant you any rights to the IP Rights except for the limited rights expressly set forth herein.

License to Use: Subject to your compliance with these Terms, Data365 grants you a non-exclusive, non-transferable, revocable license to access and use the APIs provided by Data365 solely for your internal business purposes. This license does not allow you to:
  • Sublicense, resell, or redistribute the APIs to any third party.
  • Modify, adapt, or create derivative works based on the APIs.
  • Use the APIs to develop any competing products or services.
  • Remove, obscure, or alter any proprietary notices or labels on the APIs.
Feedback: If you provide any suggestions, comments, or feedback regarding our Services ("Feedback"), you hereby grant Data365 a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate the Feedback into our Services without any obligation to compensate you.

Third-Party Intellectual Property: Our Services may contain APIs, or other materials from third parties. Your use of such third-party materials may be subject to additional terms and conditions as indicated by the respective third-party licensors.

Infringement Claims: If you believe that any content accessible through our Services infringes your intellectual property rights, please contact us promptly at the address provided in the "Contact Information" section below. We will investigate the matter and take appropriate action in accordance with applicable laws.

Payment Terms and Fees

Subscription Plans: Data365 offers various subscription plans with different levels of access to our tools and APIs. The features, pricing, and limitations of each plan will be described on our website or in a separate agreement. We reserve the right to modify, update, or discontinue any subscription plan at any time. 

Fees: You agree to pay the fees associated with your selected subscription plan in accordance with the pricing and payment terms presented to you at the time of purchase. All fees are non-refundable unless expressly stated otherwise.

Payment Methods: Data365 accepts payment through various methods, including invoicing, credit cards, debit cards, and other online payment systems. By providing your payment information, you represent that you are authorized to use the designated payment method and authorize us to charge you for the applicable fees.

Bank Fees and Transaction Charges: All bank fees, wire transfer charges, and other financial transaction costs incurred outside our operating jurisdiction will be borne by you. Bank fees and charges within our operating jurisdiction will be borne by Data365. When making payments, please ensure that the full invoiced amount reaches our account after deduction of any applicable bank charges on your end.

Billing Cycle: Subscription fees are billed on a monthly basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription or we terminate it in accordance with these Terms.

Late Payments: If your payment is overdue, Data365 reserves the right to suspend or terminate your access to the Services until the outstanding fees are settled.

Taxes: All fees are exclusive of any applicable taxes, levies, or duties. You are responsible for paying any such taxes, including but not limited to sales tax, value-added tax (VAT), or goods and services tax (GST), in addition to the subscription fees.

Fee Changes: Data365 may change its fees and pricing structure at any time by providing at least 30 days' notice to you. The updated fees will apply to the next billing cycle after the notice period. If you do not agree to the fee changes, you may cancel your subscription before the changes take effect.

Refunds: Data365 does not generally offer refunds for subscription fees unless required by law or expressly stated in these Terms. If you believe you are entitled to a refund, please contact us at the address provided in the "Contact Information" section below.

Termination and Suspension of Services

Termination by You: You may terminate your subscription to our Services at any time by providing written notice to Data365. The termination will take effect at the end of the then-current billing cycle, and you will not be entitled to any refunds for the remaining period of your subscription.

Termination by Data365: We reserve the right to terminate your access to the Services, without prior notice, if we reasonably believe that you have violated these Terms, engaged in any prohibited activities, or if required by law. In such cases, you will not be entitled to any refunds for any unused portion of your subscription.

Suspension of Services: Data365 may suspend your access to the Services, without liability, if (a) you fail to pay the applicable fees within the specified time frame; (b) we reasonably believe that your use of the Services poses a security risk or may adversely impact our systems or infrastructure; (c) we suspect unauthorized or fraudulent use of your credentials; or (d) we are required to do so by law. We will endeavor to provide you with notice of the suspension and an opportunity to remedy the issue, where appropriate.

Survival: The provisions of these Terms that by their nature should survive termination, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification obligations, shall remain in effect even after the termination of your subscription or these Terms.

Disclaimer of Warranties

The services provided by Data365, including all tools, APIs, documentation, and materials, are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Data365 disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Data365 does not warrant that the services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not make any representations or warranties regarding the accuracy, reliability, completeness, or timeliness of the services or any results obtained through their use.

You acknowledge that your use of the services is at your own risk. Data365 does not warrant that the services will meet your specific requirements or that the operation of the services will be uninterrupted or error-free. You are solely responsible for ensuring that your use of the services complies with applicable laws and regulations.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. To the extent that Data365 cannot disclaim a warranty or limit its liabilities, the scope and duration of such warranty and the extent of Data365's liability will be the minimum permitted under applicable law.

The disclaimer of warranties contained in this section is an essential part of these Terms, and Data365 would not agree to provide the services without such disclaimer.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Data365, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the services, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if Data365 has been advised of the possibility of such damages.

In no event shall Data365's total liability to you for all claims, damages, losses, and causes of action arising out of or relating to these Terms or your use of the services exceed the amount paid by you to Data365 for the services in the 12 months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you. In such cases, Data365's liability shall be limited to the fullest extent permitted by applicable law.

The limitations of liability contained in this section are an essential part of these Terms, and Data365 would not agree to provide the services without such limitations.

Indemnification

You agree to indemnify, defend, and hold harmless Data365, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
  • Your use of the services in violation of these Terms or any applicable law or regulation;
  • Your violation of any rights of a third party, including but not limited to intellectual property rights, privacy rights, or publicity rights;
  • Any content or data you upload, submit, or transmit through the services;
  • Your unauthorized use of any data obtained through the services; or
  • Any misrepresentation made by you in connection with your use of the services.
Data365 reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Data365's defense of such claim.

The indemnification obligations contained in this section shall survive the termination of these Terms and your use of the services.

Governing Law and Dispute Resolution

These Terms and your use of the services shall be governed by and construed in accordance with the substantive laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms or the services, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Rules of the London Court of International Arbitration (LCIA), which Rules are deemed to be incorporated by reference into this clause.

The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London, England. The language to be used in the arbitral proceedings shall be English.

Notwithstanding the foregoing, Data365 shall have the right to seek injunctive relief or other equitable remedies in any court of competent jurisdiction to protect its intellectual property rights or to prevent any unauthorized use of the services.

You and Data365 agree that any cause of action arising out of or related to the services must commence within 1 year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Amendments to the Terms

Data365 reserves the right to modify, update, or replace these Terms at any time and at its sole discretion. We will provide notice of any material changes to these Terms by posting the updated Terms on our website or by sending you an email to the address provided by you.

It is your responsibility to review these Terms periodically for any changes. Your continued use of the services after the posting of any modifications, updates, or replacements to these Terms constitutes your acceptance of such changes.

If you do not agree to any changes to these Terms, you must stop using the services immediately. If you have a subscription to our services, you may cancel your subscription in accordance with the termination provisions set forth in these Terms.

The most current version of these Terms will supersede all previous versions. You can review the most current version of these Terms at any time by visiting our website.

Miscellaneous Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Data365 regarding your use of the services and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral, concerning its subject matter.

Waiver: The failure of Data365 to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Data365's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Data365 may freely assign or transfer these Terms without restriction.

Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms (other than for delay in the payment of money due and payable hereunder) to the extent such failure or delay is caused by conditions beyond its reasonable control, including but not limited to acts of God, government restrictions, wars, insurrections, labor disruptions, or natural disasters.

Relationship of the Parties: Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Data365. Neither party shall have the authority to bind the other party or incur any obligation on behalf of the other party without the other party's prior written consent.
